Social site, Yahoo! is under attack from an investor looking to dispose its chief executive, Jerry Yang, it has been reported.
Eric Jackson is holding talks with executives linked to Microsoft's failed takeover deal and has attracted support from other investors.
"The bottom line is that shareholders need some new representation," Mr Jackson said.
Mr Jackson is encouraging investors to withhold votes from directors as a signal of dissatisfaction.
He has until May 15th to produce a rival set of directors before the company's annual meeting on July 3rd.
His new board could even attract Microsoft for a second time, the Guardian has reported sources said.
Negotiations between the two companies recently ended after the internet firm refused the computer giant's upgraded offer.
